Please read these Terms of Service carefully before engaging D4B Studio for any services. By contacting us, submitting a deposit, or otherwise beginning a project, you agree to be bound by these terms.
1. Acceptance of Terms
These Terms of Service govern all services provided by D4B Studio (“we,” “us,” or “the Company”) to you (“Client”). Engaging our services constitutes your agreement to these terms in their entirety. If you do not agree, please do not proceed with a project.
2. Services
D4B Studio provides the following services: Web Design, Website Development, Custom Applications, System Maintenance, and AI-powered integrations. The specific scope of work for each engagement is defined in a separate proposal or statement of work agreed upon before work begins.
3. Payment Terms
A non-refundable deposit of 50% of the total project fee is required before work begins. The remaining 50% is due upon project completion and delivery. D4B Studio reserves the right to pause or terminate work on a project if payment obligations are not met. All invoices are due within 7 days of issuance unless otherwise agreed in writing.
The monthly fee for support will be billed in advance and must be paid accordingly.
4. Refund Policy
A refund will only be issued if D4B Studio fails to deliver or provide the agreed-upon product or service, and that failure is solely and directly attributable to actions or inactions on the part of D4B Studio. No refund will be provided in cases where the project is cancelled by the Client, where non-delivery results from the Client’s failure to provide required materials, feedback, or approvals, or where the work has been substantially completed.
5. Intellectual Property & Ownership
Upon receipt of full payment, the Client owns all final deliverables produced by D4B Studio for that engagement, including design files and source code, except as otherwise specified in the project proposal.
Domains and hosting are not included in project ownership. Whether provided through D4B Studio or a third-party provider, the Client is responsible for maintaining all ongoing payments for domain registration and hosting services to keep them active.
For the Starter, Growth, and Professional packages, one year of website hosting is included at no additional charge. Domain registration is not included and carries a separate cost. After the first year, hosting renewals are billed at the then-current rate or as specified in the project proposal.
6. System Maintenance Agreements
System Maintenance services are provided on a monthly retainer basis. The agreement automatically renews each month unless the Client provides written notice of cancellation at least 30 days in advance. D4B Studio will confirm receipt of any cancellation request in writing.
7. Third-Party Services
Our services may involve or depend on third-party platforms, including but not limited to hosting providers, domain registrars, content management systems, and AI APIs (such as Anthropic). D4B Studio is not responsible for the availability, performance, pricing changes, or terms of service of any third-party provider. The Client is responsible for any costs associated with third-party services unless explicitly included in the project proposal.
8. Limitation of Liability
To the fullest extent permitted by applicable law, D4B Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or deliverables. Our total liability in connection with any engagement shall not exceed the total amount paid by the Client for that specific engagement.
9. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Michigan, United States of America. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Michigan.
10. Changes to These Terms
D4B Studio reserves the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after any such changes constitutes acceptance of the new terms.
